Preorder Agreement for DoseRx1

Your Reservation of a DoseRx1 Device

PLEASE READ THIS AGREEMENT CAREFULLY.

Preorder Agreement - Doser B.V.

This Preorder Agreement ("Agreement") is a commitment between you and Doser B.V. ("Doser" or "we") regarding your interest in acquiring a DoseRx1 Pharmaceutical Compounding Device ("Device") and participating in the Doser Ecosystem ("Ecosystem").

1. Preorder Nature

Your Preorder represents a confirmation of interest for potential future collaboration and commercial partnership in the Doser Ecosystem. However, it's important to note the following key points:

Reservation, no binding commitment: This Preorder is an expression of interest and not a purchase or lease agreement for the Device. It signifies your interest but does not constitute a binding commitment to buy or lease the Device.
Doser's Supply Discretion: Doser is not obligated to supply a Device solely based on this Preorder. The fulfillment of supplying the Device is subject to Doser's discretion and capability, and the acceptance by you of the contractual restrictions with respect to the Device imposed by Doser and/or its lease partner.
Ecosystem Participation: The Preorder also indicates your intent to enter into a collaboration and commercial partnership within the Doser Ecosystem. This, however, does not guarantee your participation, as it is subject to further agreements and mutual consent.

2. Preorder Eligibility

You must be a licensed pharmacist or an authorized representative of a licensed pharmacy to place a Preorder. By agreeing to these terms, you confirm your eligibility.

3. Registration and Information

You agree to provide accurate and current information when placing a Preorder and to update this information as necessary.

4. Payment

A Preorder fee as indicated on the order page is required. This fee will be held in a separate account and applied towards the final purchase price upon the execution of a final commercial partnership agreement.

5. No Guarantee of Delivery Date

Doser will endeavor to deliver the Device as per the preorder schedule and as fast as we can scale production, but there are no guarantees for a specific delivery date.

6. Cancellation and Refund

You may cancel your Preorder at any time before finalizing the final commercial partnership agreement. You will receive a refund of your Preorder fee.

7. Product Specifications

Specifications of the Device are subject to change. By preordering, you acknowledge that the final product may differ from descriptions available at the time of Preorder.

Your use of the Device will subject to the terms and conditions set forth in the Lease Agreement (if applicable), Collaboration Agreement, the Commercial Partnership Agreement and the End User License Agreement for the Software in the Device. Doser shall not proceed with the supply of a Device before you have accepted the terms of said agreement. The terms of these agreements are subject to change.

8. Compliance and Liability

Doser will comply with all applicable regulations and standards in the development and sale of the Device. Liability for the Device and the use thereof will be governed by the terms of the applicable agreements entered into between you and Doser and/or its leasing partner.

9. Dispute Resolution and Class Action Waiver

In case of any dispute arising out of or relating to this Agreement, you and Doser shall attempt in good faith to resolve such dispute by negotiation promptly. If the matter cannot be resolved in the normal course of business, the dispute shall be referred exclusively the competent court in Amsterdam, The Netherlands. The validity, construction and performance of this Agreement shall be governed by and construed in accordance with the laws of The Netherlands, without regard to conflict of laws principles. The Vienna Convention on Contracts for the International Sale of Goods (CISG) shall not apply to this Agreement.

10. Miscellaneous

By agreeing to this Agreement, you consent to receive communications from Doser regarding your Preorder, including updates and important information.
